Eligibility Verification
All preferential terms require prior review and eligibility verification. Eligibility must be confirmed and documented before services are initiated or an order is placed. Verification may include documentation confirming membership, institutional status, or qualifying criteria.
Written Confirmation Requirement
Preferential terms become effective only after written confirmation by Smokybrands Marketing Agency LLC. No verbal statements, informal communications, or assumptions establish eligibility without written confirmation.
Non-Stacking Policy
Preferential terms cannot be combined. If a client qualifies for more than one preferential program, only the single highest applicable discount will apply. No cumulative or retroactive adjustments will be granted.
Modification & Discontinuation
Smokybrands Marketing Agency LLC reserves the right to modify, suspend, or discontinue preferential terms at its discretion, subject to applicable law. Any confirmed preferential terms apply only for the duration and scope specified in writing.
Preferential Terms by Group
The following preferential terms are available to verified partners and eligible groups. Eligibility is subject to prior review, verification, and written confirmation by Smokybrands Marketing Agency LLC before any order is placed. Preferential terms cannot be combined; if multiple terms apply, only the highest single discount will be granted.
Preferential terms are offered in compliance with applicable federal and state laws.
Discount Scope and Application
Preferential discounts apply solely to the professional service fees invoiced by Smokybrands Marketing Agency LLC under a specific written service agreement for which eligibility has been reviewed and confirmed in writing.
For purposes of clarity, “professional service fees” refer exclusively to fees charged directly by Smokybrands Marketing Agency LLC for its own services. Discounts do not apply to any third-party costs, pass-through expenses, media spend, advertising budgets, software subscriptions, hosting fees, production costs, printing costs, freelance services, government fees, taxes, shipping, travel expenses, or any other external charges unless expressly stated otherwise in writing.
Discounts are calculated on the net service fee prior to applicable taxes and are reflected only in invoices issued after written confirmation of eligibility. Discounts are not retroactive and will not be applied to previously issued invoices, prior agreements, or completed services.
Agreement-Specific Limitation
Preferential terms apply exclusively to the specific agreement identified in the written confirmation and do not extend automatically to contract renewals, amendments, change orders, scope expansions, new projects, additional services, or separate agreements.
Continuation of any preferential terms beyond the confirmed contract period requires renewed eligibility verification and written confirmation by Smokybrands Marketing Agency LLC.
Non-Stacking and Limitation
Preferential terms may not be combined with other discounts, incentives, promotional offers, or special pricing arrangements. If multiple preferential programs could apply, only the single highest applicable discount will be granted.
No preferential program creates a vested right, contractual entitlement, or ongoing expectation of discounted pricing beyond the specific confirmed agreement.
Eligibility and Verification
Eligibility must be reviewed, verified, and confirmed in writing prior to order placement. Smokybrands Marketing Agency LLC reserves the right to request documentation supporting eligibility at any time.
If eligibility requirements are no longer met, preferential terms may be suspended or terminated upon written notice.
Payment and Breach Condition
Preferential terms may be suspended in the event of material breach of contract, non-payment or late payment, or violation of agreed contractual terms. Restoration of preferential terms, if any, shall be at the sole discretion of Smokybrands Marketing Agency LLC.
Modification and Discontinuation
Smokybrands Marketing Agency LLC reserves the right to modify, suspend, or discontinue any preferential program at its discretion, subject to applicable federal and state law. Any modification shall not affect discounts already confirmed in writing for the active contract term unless otherwise permitted by law.
